1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at cya.to (the “Site”) and the products and services (collectively, the “Services”) provided by CYA, a sole proprietorship registered in British Columbia, Canada (“CYA,” “we,” “us,” or “our”). By visiting or using the Site or Services, you (“you,” “your,” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended mainly for adults and are not directed to minors.

3. Changes to Terms

We may update these Terms at any time by posting the revised version on the Site. Continued use after an update signifies acceptance of the changes.

4. Services Overview

We provide brand and content strategy consulting, video-production services, and access to our white-labelled software-as-a-service platform. A typical engagement involves:

• Generating leads via blogs, social media content, ads, and referrals;
• Conducting a discovery call to confirm fit;
• Delivering project-based or ongoing Services as agreed.

5. Account Registration & Security

Where user accounts are enabled, you agree to provide accurate information and keep credentials confidential. You are responsible for all activity under your account.

6. Payment Terms

• Accepted methods: credit/debit card, PayPal/Stripe link, digital wallet (Apple Pay, Google Pay), cash, and financing providers (Klarna, Afterpay, Affirm).
• Billing models: subscription, retainer, milestone billing, pay-per-session, or usage-based pricing, as specified in your proposal or contract.
• Payment schedule: 100 % upfront; or deposit with balance on completion; or net-15/30 invoicing, as stated in the applicable statement of work.
• Late payment: We may apply interest, suspend service, retry charges, send reminder emails, or assign the debt to collections after any grace period stated on the invoice.

7. SMS, Voice & Email Communications

By providing your phone number or email and opting in, you consent to receive automated, marketing, and transactional messages from CYA. Message frequency varies. Msg & Data rates may apply. Reply STOP to cancel, HELP for help. Consent is not a condition of purchase. We do not sell or share your mobile or email information except with service providers strictly to deliver messages. Carriers are not liable for delayed or undelivered messages.

8. Community Standards & Prohibited Conduct

You agree not to:

• Post hate speech, harassment, violence, sexually explicit or illegal content;
• Infringe another party’s intellectual-property rights;
• Spam users or solicit unlawful acts;
• Share others’ personal data (doxxing);
• Encourage self-harm or suicide.

Violations may result in content removal, account suspension, or referral to law enforcement.

9. User-Generated Content (“UGC”)

You retain ownership of UGC but grant CYA a worldwide, royalty-free licence to use, reproduce, and display it for operational and promotional purposes. You represent that you own or have permission to post all UGC.

10. Intellectual Property

All Site content, software, and trademarks are the property of CYA or its licensors. Except for limited use rights granted herein, nothing transfers ownership to you.

11. Disclaimers

• Informational only: Content is provided for general information and does not constitute legal, medical, financial, or professional advice.
• No guarantee of results: Outcomes vary by individual; past performance is not indicative of future results.

12. Warranty & Satisfaction Guarantee

Specific projects may include a warranty or guarantee as stated in the project contract. Where none is stated, Services are provided “as is” without warranties of any kind.

13. Returns & Refunds

Returns and refunds are governed by each project’s individual contract. Terms may include restocking fees, exchanges, buyer-paid shipping, or time-limited returns. If your contract is silent, all sales are final.

14. Limitation of Liability

To the maximum extent permitted by law, CYA will not be liable for indirect, incidental, special, or consequential damages, even if advised of the possibility. Our aggregate liability will not exceed the amounts you paid us in the 12 months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless CYA and its officers, agents, and employees from any claims or damages arising out of your violation of these Terms or misuse of the Services.

16. Termination

We may suspend or terminate your access at any time for breach of these Terms. Sections that by their nature should survive (e.g., IP, disclaimers, limitation of liability) will continue in effect.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada. You consent to exclusive jurisdiction in the provincial and federal courts located in British Columbia for any dispute not subject to informal resolution or binding arbitration (if separately agreed).
